Purpose of the Agreement:

The Client is hiring the Vendor to provide photography and video services for their commercial and architectural Photo/Video needs. The Vendor agrees to provide these services according to the terms outlined in this agreement.

Terms:

• The Vendor will provide photography and video services as agreed upon.

• HDR and/or single exposure photographs will be delivered to the CLIENT within 7 business days. A rush fee of $75 applies for quicker delivery. Additional fees may apply for post-production edits after the final image delivery.

• The CLIENT will secure permission for the PHOTOGRAPHER to access and capture images and recordings at the specified locations and times.

• This contract covers photography and recordings for commercial and architectural purposes, including advertising and promotion.

Payment:

1. In consideration for the photography services provided by Claridge Media LLC (PHOTOGRAPHER), the CLIENT agrees to pay the current rates of Claridge Media LLC in full upon the delivery of all final images and recordings. 1.5 % Interest would apply to past due invoices after 15 days

Photography Guidelines:

1. The PHOTOGRAPHER may request the relocation of vehicles, outdoor equipment, or personal items as needed for each image. The PHOTOGRAPHER will use discretion to digitally enhance or remove certain elements while ensuring the property's representation remains accurate.

Delivery:

1. Digital photographs will be delivered to the CLIENT via online digital service within 7 business days. Video recordings, if needed, will be delivered within 7-10 business days.

Client Cooperation:

1. The CLIENT shall assist and cooperate with the PHOTOGRAPHER in obtaining the desired photographs. This includes specifying scenes, setting the scene, and providing necessary guidance. The PHOTOGRAPHER is not responsible for photographs not taken due to the CLIENT's failure to provide reasonable assistance or cooperation.

Copyright:

1. The PHOTOGRAPHER retains copyright and grants the CLIENT unlimited but non-exclusive rights to use and reproduce the photographs for their own business and promotional purposes. The CLIENT may not enter photographs into contests or sell them.

Vendor's Use of Photos:

1. The PHOTOGRAPHER may use photographs of the CLIENT's projects and the CLIENT's likeness for advertising, marketing, and educational purposes.

Applicable Law:

This contract is governed by the laws of Chelan County, Washington, and any applicable federal law.

Services:

• The Vendor will provide services at the specified locations and times agreed upon.

Cost, Fees, and Payment:

• The CLIENT agrees to pay the current rates and fees as listed on the Vendor's website.

Intellectual Property:

• The Vendor retains copyright but grants the CLIENT a non-exclusive license for business and promotional purposes. The products cannot be attributed to others, sold, or entered into contests.

Impossibility (Force Majeure):

• Either party may be excused from further performance obligations in the event of uncontrollable circumstances, such as natural disasters, war, or other hazardous situations. The affected party will give notice and issue refunds or credits as appropriate.

General Provisions:

• The laws of Washington State govern this agreement, and if any part of it is deemed illegal or unenforceable, the remaining provisions still apply.
